1. Acceptance of Terms

By accessing or using Custlio ("the Service"), operated by Nexp Inc ("Nexp," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to all of these terms, do not use the Service.

We may update these terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised terms.

2. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account. One person or legal entity may not maintain more than one free account.

3. Payment & Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these terms or required by applicable law.

We reserve the right to change pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle.

4. Cancellation & Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period, and you will retain access until then.

Upon cancellation, your data will be retained for 30 days to allow for reactivation. After that period, your data will be permanently deleted.

5. Data & Privacy

Your data belongs to you. We process data only as necessary to provide the Service and in accordance with our Privacy Policy. We do not sell your data to third parties.

You may export your data at any time. We implement industry-standard security measures including encryption at rest and in transit, tenant isolation, and access controls.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Nexp Inc and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of all content you upload to the Service. By uploading content, you grant us a limited license to store, process, and display that content solely to provide the Service.

7. Limitation of Liability

To the maximum extent permitted by law, Nexp Inc shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service.

Our total liability for any claim arising from or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

8. Modifications to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email or an in-app notification at least 30 days before they take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified terms.

9. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these terms or the Service shall be resolved in the state or federal courts located in the State of Delaware.
